Colocation Addendum

This Addendum applies only if Spiral Technologies offers colocation, customer-owned hardware hosting, rack space, power, remote hands coordination, or related facility services. This Addendum supplements and is incorporated into the Master Services Agreement.

1. Facility Rules

Customer must comply with all datacenter, facility, security, access, electrical, fire safety, cabling, labeling, insurance, escort, badge, remote hands, shipping, receiving, and operational rules. Failure to comply may result in suspension or termination of colocation services.

2. Physical Access

Physical access is not guaranteed unless expressly included in the colocation agreement. Access may require advance scheduling, identity verification, insurance, escort approval, and compliance with facility procedures. Spiral Technologies will coordinate access requests with the datacenter on a reasonable-efforts basis.

3. Customer Equipment

Customer is responsible for all customer-owned hardware, drives, rails, cables, licenses, spares, shipping, insurance, configuration, data, and backups. Spiral Technologies is not liable for equipment failure, drive failure, data loss, shipping damage, power events, facility incidents, unauthorized access, or acts outside Spiral Technologies’ reasonable control.

Customer must ensure equipment is properly rack-mounted, labeled, and compliant with facility power and physical specifications before and during colocation.

4. Power and Network Usage

Power, bandwidth, cross-connects, IP addresses, remote hands, and facility services may be billed separately. Overages, pass-through charges, and provider-imposed fees are Customer’s responsibility. Actual power draw must not exceed the committed or purchased allocation without written approval.

5. Remote Hands

Remote hands services, if offered, are provided on a scheduled and best-effort basis at Spiral Technologies’ discretion. Emergency remote hands requests may incur additional fees. Spiral Technologies is not liable for outcomes of remote hands work performed at Customer instruction.

6. Abandoned Equipment

Equipment may be considered abandoned if invoices remain unpaid, Customer fails to respond to communications, or services are terminated and Customer does not retrieve equipment within the retrieval period stated in the termination notice. Spiral Technologies may charge storage, removal, shipping, disposal, administrative, or recovery fees for abandoned equipment. Customer equipment will not be disposed of, sold, or repurposed unless permitted by law and after appropriate notice.

7. No Warranties for Facility Services

Colocation and facility services are provided “as is.” Spiral Technologies acts as an intermediary for datacenter access and does not own the facility. Facility-side events outside Spiral Technologies’ direct control are excluded from SLA commitments per the Service Level Agreement.
